RSWeb provides Resellers with the ability retrieve accurate and timely web content directly from the Manufacturer for the products being offered by the Reseller. Prior to retrieving any text, images, graphics, animations, audio and/or video material and other descriptive material, it will be necessary to obtain a separate and legal right to use, publish, promote, copy, display, distribute, modify, arrange and offer the content over the Internet through the Reseller's website. 

Therefore, if one is not already available, Read Technologies can coordinate efforts of potential users of RSWeb to obtain a "License Agreement" from the Manufacturer, or other owner, of the "Source" web content. This License Agreement must minimally grant a non-exclusive, non-transferable, worldwide license to access the Information on Content Provider's Web Site, with permission to use, publish, promote, copy, display, distribute, modify, arrange and offer the Information and any derivative thereof, over the Internet through the creation "Output" web content; and such a License Agreement should also be reviewed by council, in order to avoid any potential copyright disputes.

In addition, Read Technologies can coordinate with users of RSWeb in the event of a need to review and maintain records pertaining to creation, maintenance, and contents of the "Output" web content that is presented using RSWeb at the Reseller's web site, because it is probable that "Source" web content is being reprinted, excerpted or digested as part of documents available at the website.

Note: Copyright disputes can arise in connection with web sites in several ways. One type of dispute can occur when text or other material appearing on the site is derived or extracted from elsewhere. The author of any original work(s) of authorship fixed in any tangible medium of expression has an exclusive copyright to the work. The copyright arises upon creation of the work, regardless of whether the copyright is registered under the Copyright Act. If a web site owner displays text in a web page that is copied from the work of another author without that author's permission, the copying of that work is an infringement of the author's copyright. In addition, the electronic display, transmission, and downloading of the copied material may infringe the author's copyright to the extent such activities encroach the author's exclusive right under copyright to prevent unauthorized distribution, display or performance of the work.
